Terms of Service

1. Acceptance and related policies

By creating an account, clicking acceptance, posting a listing, or using LivestockLogix, you agree to these Terms and the incorporated Acceptable Use Policy. The Privacy Policy explains how information is handled but is not a contract unless applicable law says otherwise. If you do not agree, do not use the service. Different written terms shown at checkout or for a particular feature also apply to that purchase or feature; those specific terms control if they directly conflict with these general Terms.

2. Eligibility and authority

Accounts are for people at least 18 years old who can enter a binding contract. If you use LivestockLogix for a ranch, breeder, company, or other organization, you represent that you are authorized to bind it. You must provide accurate information and may not use the service if applicable law prohibits you from doing so.

3. Accounts and security

You are responsible for your credentials and activity through your account. Keep account information current, use a unique password, and promptly report suspected unauthorized access through Help & Support. You may not share an account in a way that defeats account, seller, permission, or billing controls, or impersonate another person or business.

4. LivestockLogix is a marketplace service, not a transaction party

LivestockLogix helps users research animals and genetics, publish listings, and communicate. Unless a page expressly says otherwise, LivestockLogix does not own, possess, inspect, warehouse, transport, insure, test, certify, or transfer title to live cattle, semen, embryos, or related property. LivestockLogix does not process the purchase price paid between marketplace buyers and sellers. Platform subscription or service fees are separate from user-to-user sale proceeds.

No agency, partnership, joint venture, fiduciary, employment, or franchise relationship is created between LivestockLogix and a user, or between users, merely by use of the platform. Users negotiate and enter their own contracts. LivestockLogix may moderate or review a listing without becoming a party to the resulting transaction.

This section describes the platform's current functions; it does not override a classification imposed by law. LivestockLogix must reassess licensing, registration, bonding, marketplace, and payment obligations before handling sale proceeds, conducting auctions, negotiating for a party, or charging transaction-based commissions.

5. Seller promises and listing duties

Each seller represents and agrees that:

• the seller has the legal right and authority to offer each item;
• listing identity, ownership, availability, location, price, photos, notes, and material facts are accurate and not misleading;
• the seller will promptly correct, pause, or remove unavailable or inaccurate listings;
• the listing and transaction comply with animal-health, welfare, transport, registration, advertising, export, import, tax, and commerce laws;
• photos, logos, records, and descriptions may be lawfully uploaded and displayed; and
• the seller will disclose known material restrictions, liens, breeding-right limitations, storage obligations, and health or transfer requirements directly to the buyer.

Approval, a profile badge, record match, or administrative review means only that LivestockLogix completed the limited platform step described in the interface. It is not an endorsement, inspection, guarantee, veterinary opinion, title opinion, or warranty.

6. Buyer due diligence and transaction terms

Buyers must independently verify the seller, ownership, registration, pedigree, parentage, identity, health status, testing, genetic conditions, storage, condition, availability, price, and applicable transfer or movement requirements before committing to a transaction. Users are responsible for a written sale agreement addressing payment, taxes, inspection, warranties, breeding rights, storage, insurance, delivery, title, risk of loss, refunds, dispute procedures, and any other material term. Obtain veterinary, registry, legal, tax, and insurance advice when appropriate.

7. Live cattle, semen, and embryos

Animal movement, germplasm storage and transfer, and interstate or international transactions may require identification, testing, certificates, permits, accredited-veterinarian involvement, registry work, or destination-specific compliance. The parties—not LivestockLogix—are responsible for determining and satisfying current requirements.

Photos and descriptions cannot establish an animal's present health or condition. Semen and embryo listings do not guarantee fertility, conception, pregnancy, live birth, sex, genetic outcome, performance, merchantability, or fitness for a particular program. Storage, handling, transfer, and thawing can affect viability, and users must confirm those terms with the seller and facility.

8. Research data, pedigrees, and genetic information

Pedigrees, EPDs, indexes, accuracies, progeny counts, averages, rankings, photos, and other cattle information may be seller-provided, derived, historical, incomplete, delayed, or obtained from third-party sources. EPDs and expected mating averages are estimates, not promises of an individual animal's results. Indexes and averages may not be comparable across dates, breeds, sources, or methodologies. Verify decision-critical facts with the applicable registry or source.

LivestockLogix is a research aid and does not provide veterinary, genetic, breeding, financial, legal, tax, or investment advice. Users remain responsible for their own selection and breeding decisions.

9. User content and permission to operate the service

You retain ownership of content and agricultural data you submit, subject to third-party rights. You grant LivestockLogix a worldwide, nonexclusive, royalty-free right to host, store, reproduce, format, resize, display, distribute, and create service-related derived or aggregated information from that content solely to operate, secure, improve, and explain LivestockLogix and the listings you choose to publish. This permission includes use by hosting, storage, email, analytics, payment, and other processors working for LivestockLogix and ends when the content is deleted except for reasonable backup, legal, fraud-prevention, audit, approved animal record, and already-created aggregated or derived uses.

Removing a listing photo does not necessarily remove a separately approved photo from a completed animal record or historical audit record. Contact Help & Support to request review of a permanent record. You represent that the permissions above do not violate a contract, privacy right, publicity right, copyright, trademark, trade secret, registry restriction, or other right.

10. Agricultural data protections

An agricultural producer retains ownership and control of producer agricultural data to the extent provided by applicable law. LivestockLogix receives only a nonexclusive right to process that data for the services and uses the producer authorizes, including public display when the producer intentionally publishes a listing, platform security and integrity, seller insights, aggregated reporting, derived insights, service improvement, and internal model or algorithm training used to provide or improve the service.

LivestockLogix is prohibited from selling agricultural data without the agricultural producer's separate, clear, express written consent. Nothing in these Terms waives or limits rights that cannot lawfully be waived, including rights under the Nebraska Agricultural Data Privacy Act.

11. Platform intellectual property and data access

LivestockLogix and its licensors retain rights in the service, software, design, branding, documentation, and protectable selection, coordination, and arrangement of platform content. Facts and content owned by others remain subject to their respective rights. Subject to these Terms, LivestockLogix gives you a limited, revocable, nontransferable right to use the service for its intended research and marketplace purposes.

You may copy an individual value for ordinary research or transaction use. You may not scrape, crawl, bulk copy, systematically extract, republish, license, sell, train a competing product from, or build a substitute database or service from platform data without written permission. You may not bypass rate limits, access controls, clipboard protections, or technical restrictions.

12. Paid platform services

LivestockLogix will not activate a recurring plan unless checkout clearly shows the exact price, billing frequency, renewal, material quantity or usage rules, refund terms, and cancellation method and captures your express informed consent before charge authorization. A recurring plan then renews until canceled. You authorize the payment processor to charge the payment method on file as disclosed at checkout. The retainable purchase confirmation will explain a simple online cancellation method. Cancellation normally takes effect at the end of the then-current paid period unless checkout or applicable law states otherwise. LivestockLogix will provide renewal, annual, price-change, or cancellation notices and retain consent evidence when applicable law requires them.

Fees are exclusive of applicable taxes unless stated otherwise and are nonrefundable except as required by law or expressly stated at purchase. LivestockLogix may change future prices after reasonable notice. Failed or reversed payments may result in suspension of paid features, but do not alter obligations already incurred. Payment card details are handled by the payment processor, not stored as full card numbers by LivestockLogix.

13. Communications and electronic records

You agree to receive service, security, transaction, billing, policy, and support communications electronically at your account email or in the platform. Keep your email current. Marketing messages, if any, are subject to the choices and unsubscribe method provided with them. You may retain policy copies by printing or saving them. Withdrawal from electronic service communications may require account closure where electronic delivery is necessary to provide the service.

14. Third-party services and links

The platform may rely on or link to registries, sellers, payment processors, storage providers, email providers, maps, and other third parties. Their terms, privacy practices, availability, and content are their responsibility. A link, logo, data import, or integration does not imply endorsement, sponsorship, affiliation, or verification.

15. Moderation, enforcement, and account action

LivestockLogix may investigate, request documentation, reject, correct, limit, label, unpublish, or remove content, and may restrict or suspend access, to enforce these Terms, respond to legal requests, protect users, preserve evidence, prevent fraud or security harm, or protect the service. We are not obligated to pre-screen every listing or communication. Decisions may be appealed through Help & Support, but urgent protective action may occur before notice.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVESTOCKLOGIX AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RESULTS. WE DO NOT WARRANT USER IDENTITY OR CONDUCT; OWNERSHIP OR TITLE; ANIMAL HEALTH, GENETICS, FERTILITY, PERFORMANCE, OR CONDITION; LISTING ACCURACY OR AVAILABILITY; DELIVERY; PAYMENT; OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Some jurisdictions do not allow certain disclaimers. In that event, the disclaimer applies only to the extent permitted. Nothing here disclaims a warranty or right that cannot lawfully be disclaimed.

17. User disputes and release

Buyers and sellers are responsible for resolving their transactions and disputes. To the maximum extent permitted by law, you release LivestockLogix and its owners, officers, employees, contractors, and agents from claims arising solely from another user's listing, conduct, communication, payment, delivery, animal, semen, embryo, or transaction. This release does not apply to claims that law does not permit you to release.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVESTOCKLOGIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR LOSSES ARISING FROM A USER-TO-USER TRANSACTION, EVEN IF ADVISED THAT SUCH LOSS IS POSSIBLE. THE AGGREGATE LIABILITY OF LIVESTOCKLOGIX FOR ALL CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE PLATFORM FEES YOU PAID TO LIVESTOCKLOGIX DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

This section does not limit liability that cannot be limited under applicable law. The limitations allocate risk between the parties and are an essential basis of the agreement.

19. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless LivestockLogix and its owners, officers, employees, contractors, and agents from third-party claims, damages, judgments, losses, liabilities, and reasonable legal costs arising from your listings or content, your transaction or animal, your breach of these Terms, or your violation of law or another person's rights. We may control the defense of a covered claim, and you may not settle it in a way that admits fault or imposes obligations on LivestockLogix without written consent.

20. Suspension, termination, and survival

You may stop using the service and request account closure. We may suspend or terminate access for breach, fraud, nonpayment, security or legal risk, prolonged inactivity, or discontinuation of the service. Account closure does not erase amounts due, transaction obligations, valid legal holds, policy acceptance, audit records, or rights that by their nature must survive. Sections concerning ownership, data permissions for retained records, payments, disclaimers, liability, release, indemnity, disputes, and general terms survive termination.

21. Changes to the service or Terms

Features may change, and no feature is promised forever. Material Terms changes will be posted with a new effective date and, for signed-in users, presented for renewed acceptance before continued account use when appropriate. Changes apply prospectively unless law permits otherwise. If you reject an updated agreement, stop using the service and request account closure.

22. General terms

These Terms and incorporated policies are the entire agreement about the service except for applicable feature-specific written terms. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest remains effective. Failure to enforce a term is not a waiver. You may not assign these Terms without written consent; LivestockLogix may assign them in connection with a merger, financing, reorganization, or sale of the service or business. We are not responsible for delay caused by events beyond reasonable control. Headings are for convenience only.

23. Disputes and contact

Before filing a claim about LivestockLogix, send a detailed notice through Account Setup → Help & Support and allow a reasonable opportunity to investigate and attempt an informal resolution. This does not extend a legal deadline or prevent urgent relief. These Terms do not currently require arbitration or waive class proceedings. Applicable law and a court with lawful jurisdiction govern unresolved disputes unless the parties later agree otherwise in writing.
